Ms. Sona Malhotra is a Partner at HJA & Associates LLP, where she leads Corporate Transactions Practice. With almost 10 years of experience in advising founders, startups, growth-stage companies, incubators, accelerators, investors, and fund managers, she brings deep domain expertise in private equity, venture capital, and strategic investment transactions.

Sona provides comprehensive legal and strategic support across all stages of fundraising and investment—from structuring and conducting legal due diligence to drafting, negotiating, and closing transaction documents. Her advisory covers shareholder and investment agreements, rights structuring, regulatory filings, and post-deal compliance. She has developed a strong reputation for delivering commercially sound, risk-aware solutions that align with the business and investment objectives of all stakeholders.

Her ability to distill legal complexity into actionable guidance has made her a trusted advisor for both emerging startups and seasoned investors. She also advises clients on general corporate and commercial matters, contributing to long-term governance and operational efficiency.

Before joining HJA, Sona gained significant experience at leading law firms including IndusLaw LLP, NovoJuris LLP, and Burgeon Law, where she was an integral part of their corporate transactions’ teams.

Sona holds an LL.B. (Hons.) from the University of Manchester and completed the Legal Practice Course (LPC) at BPP University, London
